Terms and Conditions
1. You are shopping on the website stitchweares.com (“stitchweares”).
2. If you submit a qualifying customer order, the products you purchase will be sold to you by stitchweares in accordance with these Terms and Conditions. Your payment information, shipping address, and any other information required to complete the order will be shared directly with stitchweares and its designated agents and contractors so that stitchweares can fulfill your qualifying customer order.
3. Your qualifying customer order is subject to the following terms and conditions: (1) these Terms and Conditions; and (2) any applicable terms and conditions imposed by the merchant. Completing the purchase signifies that you have read and agree to be bound by all terms and conditions. By submitting a qualifying customer order on the merchant’s website, you understand and agree that:
3.1 You are transacting with stitchweares and providing them with your information. stitchweares may contact you regarding your order.
3.2 If the product price listed on the merchant’s website is incorrect, or if the product price applicable at the time of sale and processing of your product order is incorrect, Passport and its designated agents reserve the right to contact you, correct the price, and/or cancel your order. 3.3 The merchant remains responsible for processing your order payment.
3.4 Once your payment is processed, ownership of the item will transfer from stitchweares to you.
3.5 Some addresses, such as P.O. Boxes, are not eligible for delivery.
3.6 Passport may, at its sole discretion, refuse to provide service, refuse to process or fulfill eligible customer orders, delete or edit content, or cancel such orders for any or no reason.
3.7 If you are under the legal age of majority in your jurisdiction, you will need the consent of your parent or guardian to complete the purchase.
3.8 You authorize stitchweares and its designated agents and contractors to perform any of the following activities in the delivery of any products: (i) as your agent, to prepare and submit customs declarations and to take all relevant actions directly on your behalf, including, expressly, completing any documents, amending product or Harmonized System codes, and paying any duties, taxes, or penalties required by applicable laws and regulations; (ii) as your freight forwarder, solely for customs declarations and clearances to designated customs brokers for customs import and export controls; and (iii) at the request of any person whom stitchweares’ designated agents and contractors reasonably believe to be authorized, to reship your orders to your customs broker or other address.
4. Currency. You can select your preferred payment method and currency from the options list at checkout. Please note that the relative value of different currencies may vary, therefore the actual purchase price of the goods in your order may differ depending on the currency you select.
5. Payment. If you use a payment card or other electronic payment method, the charges in your order account will be subject to the merchant’s terms and conditions.
6. Delivery. Your order may be shipped in one shipment or in multiple shipments. If your order is shipped in multiple shipments or only some items are shipped, you will only be charged for the actual items shipped.
7. Refunds, Fraud Prevention, and Revoked Transactions. To protect your rights, Stitchweares may employ various fraud prevention protocols and policies, as well as industry-standard verification systems, to reduce fraud and minimize chargeback risk. You must comply with these protocols and policies, including card verification and verification of your shipping and billing addresses. Once an order is submitted, you may not change any verified payment information or any verified shipping/billing address. If a transaction is processed or accepted due to a system error, but final authorization is denied, the transaction will be revoked.
8. Customer Service and Returns. If you have any questions or complaints about your order, please contact the merchant first. Passport may work with the merchant to resolve your issue as needed. Merchants reserve the right to allow returns or refunds according to their policies, including refunds of the original sales price of goods returned to the address specified by the merchant. However, if there are restrictions on returned goods, Stitchweares may refuse any return request. You agree that your sole remedy is against the merchant. If a customer’s return is authorized by Stitchweares, Stitchweares has the right to return the goods to the merchant, and the merchant will issue a credit note to Passport accordingly. Stitchweares will also provide a credit note to the customer, and all ownership, title, and risk of the returned goods will transfer directly to the merchant. If a return is authorized by Stitchweares, the merchant will, as instructed by Stitchweares and in the name of Stitchweares, issue a credit note directly to the customer for the value of the approved returned goods. For any goods returned to the merchant, you authorize Stitchweares and its designated agents to act on your behalf and to recover any import duties and taxes. You will sign any reasonably necessary documents to facilitate the return of goods and the recovery of any import duties and taxes, if required.
9. General Terms. The following general terms apply when you place an eligible customer order through the merchant’s website:
9.1 Compliance with applicable law. You warrant that any products purchased through your Qualified Customer Order will not be imported, exported, sold, or transferred in violation of any applicable laws, including but not limited to applicable sanctions and embargoes administered by the U.S. Export Administration Regulations or the U.S. Treasury Department, and equivalent regulations, ordinances, and codes in England, Wales, or the European Union. You are responsible for understanding the laws of the destination country for any products you order from the merchant’s website. By submitting a Qualified Customer Order, you warrant that the importation of the products you order into the country of your provided delivery address will not violate any laws or regulations of that country.
9.2 Privacy. To fulfill your Qualified Customer Order, you will provide personal information to the merchant and stitchweares, and agree that the merchant, stitchweares, and their service providers may collect, use, process, disclose, and/or store your personal information in accordance with the merchant’s and stitchweares’ privacy policies when processing and fulfilling your order and providing other services you request. Stitchweares assumes no responsibility for the collection, use, processing, disclosure, or storage of your personal information by the merchant or any of its service providers. The collection, use, processing, disclosure, and/or storage of your personal information by the merchant or its service providers is governed by the merchant’s privacy policy. Merchants and Passport may analyze transaction data to identify trends, statistics, and metrics that could improve the merchant’s customer experience and/or the services offered by Passport. Any transaction data used for these purposes will be aggregated and anonymized, meaning any personally identifiable information will be removed.
9.3 Electronic Communications. When you submit an eligible customer order through the merchant’s website, you are engaging in electronic communications with Passport and agree to enter into this agreement electronically and to receive communications from Passport electronically/by email.
9.4 Modifications. You acknowledge and agree that Stitchweares may modify its systems, policies, and these Terms and Conditions at any time. Passport will ensure that the latest version of the Terms and Conditions is displayed each time you submit an eligible customer order on the merchant’s website. It is your responsibility to review these Terms and Conditions each time you submit an eligible customer order. If you do not agree to any changes to the Terms and Conditions, do not complete the order. Any order submitted after the effective date of the change will be deemed as your agreement to that change and the then-current Terms and Conditions.
9.5 Severability. If any provision or any part of these Terms and Conditions is held to be invalid, void, or unenforceable for any reason, such provision or part shall be severed without affecting the validity and enforceability of the remaining provisions.
9.6 Litigation. Any action or proceedings arising out of or relating to these Terms and Conditions shall be brought in the courts of the State of California, USA, and you hereby irrevocably agree that the courts of the State of California, USA, shall have jurisdiction over all such actions.
9.7 Language. The parties agree and expressly require that this Agreement and all related documents be written in English.
9.8 Definitions. The meanings of “Member State,” “Third Country,” and “Third Territory” are as defined in Article 5 of Council Directive 2006/12/EEC. “Products” means goods sold through a merchant’s website that are not subject to any applicable Goods and Services Tax (GST) category or class, whether or not such goods are actually subject to GST, or whether or not such goods have been subject to GST; or, if imported into the United Kingdom, that such goods are not prohibited or restricted goods and are not subject to any restrictions on export, sale, or transfer for breach of any applicable law. “Product price” refers to the price at which merchants sell products to customers (including VAT) and the price at which stitchweares sell products to customers (including VAT); “product price” refers to the price of a single product. A “qualified customer order” must meet all of the following conditions:
(A) This is an order placed through the merchant’s website, and the shipping address is:
from a third country (excluding Northern Ireland) to an address within an EU member state (e.g., from the US to France); from a third country (excluding the UK) or an EU member state to an address within the UK (e.g., from Germany to the UK); or from a third country (excluding Northern Ireland) to an address within Northern Ireland (e.g., from the US to Northern Ireland);
(B) Regarding the shipment of one or more products to an address:
In the UK or Northern Ireland, the total intrinsic value of the products in the order does not exceed £135; or, if the total intrinsic value of the products in the order exceeds this amount but is shipped in installments, the intrinsic value of each shipment containing that product does not exceed £135; in an EU member state, the total intrinsic value of the products in the order does not exceed €150; or, if the total value of the products in the order exceeds this amount but is shipped in installments, the intrinsic value of each shipment containing that product does not exceed €150.
